There is no legal obstacle for foreign real or legal persons to establish companies in Turkey. Recent laws have been amended to support foreign investors.
Establishment of a Foreign Real Person Company
Real persons can establish a capital company by themselves or by establishing partnership with Turkish real or legal persons. The following documents are required for foreign nationals in the establishment procedures.
Notarized passport translation
Tax identification number
Notarized copy of residence permit, if there is a residence permit
In addition, the required documents are the same as those required for the Turkish partners.
Establishment of a Foreign Legal Person Company
Foreign legal entities may establish a stand-alone company in Turkey may open branches, representative offices can open and can be shared with another natural person or legal entity. The following documents are required for foreign legal entities in the establishment procedures:
Trade registry certificate of the central company
General Assembly resolution to be prepared by the company
Tax identification number
Power of attorney
The documents must be apostille approved and notarized Turkish translation. In addition, the required documents are the same as those required for the Turkish partners.
Foreign Capital and Work Permit
Turkish citizens living abroad in countries where they have when they want to establish a company in Turkey living document or notarized Turkish translation of a work permit is required.
The biggest problem that may be experienced in foreign corporations may be the issue of opening a bank account. Banks account for individual foreign nationals working with non-resident banks or opening in Turkey before they can remove the problem. This can create a waste of time in the organization.
Another major problem for companies with foreign partners is the issue of work permits. No work permit is sought during company establishment. Applications can be made after the establishment. There are some conditions in this regard.
The Company’s paid-in capital must be at least TL 100,000, or gross sales must be at least TL 800,000, or the final export amount must be at least USD 250,000.
A work permit is requested for each foreign partner companies at least 5 (five) employment of citizens of the Republic of Turkey is compulsory. If the foreign company partner requesting permission, the employment requirement of five persons is required for the last six months of one year work permit. If more than one foreign get a work permit for the same company, the first foreign work permit issued to a foreigner for each subsequent 5 (five) are being sought employment Citizens of the Republic of Turkey.
Work permit cannot be obtained without fulfilling these conditions.
